Founding Church Program Terms

These Founding Church Program Terms ("Program Terms") apply to churches and ministries that participate in Vestry's Founding Church Program (the "Program"), a beta-partnership relationship offered by Vestry LLC ("Vestry") to a limited founding cohort of churches that commit to using and contributing to Vestry.

These Program Terms supplement and modify Vestry's general Terms of Service (the "Main Terms") at getvestry.com/terms. In the event of any conflict between these Program Terms and the Main Terms, these Program Terms control with respect to the Program.

By reserving a Founding Church slot through Vestry's checkout process and adding a valid payment method, you ("Founding Church" or "you") agree to these Program Terms in addition to the Main Terms and the Privacy Policy.


1. The Founding Church Program

1.1 What the Program Is

The Founding Church Program is Vestry's beta-partnership relationship with a limited founding cohort of churches that adopt the Service. Founding Churches receive 20% off Team or Ministry pricing for 24 months of paid service, a permanent numbered badge in the application, a 30-minute personal onboarding call, and standing access to monthly product roadmap calls. In return, Founding Churches commit to active use of the Service, regular contribution to the Vestry community, and a written or video testimonial after their second paid month.

1.2 What You Agree to

As a Founding Church, you agree to:

(a) A Team or Ministry subscription with seats for anyone who chooses songs for worship services;

(b) At least 10 community posts or replies per month (team-aggregate) for 6 months as set forth in Section 4.2; and

(c) A written or video testimonial after your second paid month.

1.3 What Vestry Offers

Vestry offers each Founding Church:

(a) 20% off Team or Ministry pricing, locked for 24 months of paid service;

(b) A numbered Founding Church badge in the application (e.g., "Founding Church #14") that becomes permanently associated with your Workspace upon activation and remains as a lifetime recognition. The badge requires no additional fee or subscription tier to display, beyond the original Founding Church Program participation;

(c) A 30-minute personal onboarding call, redeemable within 90 days of slot activation; and

(d) Standing access to product roadmap calls, held monthly for the first 12 months of the Program and quarterly thereafter through the end of the 24-month discount window.


2. Slot Reservation and Activation

2.1 Reservation

Founding Church reservations are accepted in the order of card-input timestamps as recorded by Vestry's payment processor, up to the cap established by Vestry for the Program. A reservation begins at the moment a valid payment method is added and the Subscription is created (the "card-input timestamp"). The 30-day free trial described in the Main Terms still applies to Founding Church Subscriptions.

Reservations beyond the available slots in the Program will not be accepted; those Customers will receive standard subscription pricing instead.

2.2 Activation

A reservation activates upon the first successful paid charge — the timestamp of the Subscription's first non-zero invoice payment. Activation is the moment at which:

(a) the Founding Church becomes officially enrolled in the Program; (b) a numbered Founding Church badge is officially assigned and displayed in the Workspace; and (c) the 24-month discount window begins (subject to Section 3).

The numbered Founding Church badge does not display during the trial period. It activates upon first successful paid charge.

2.3 Slot Number Assignment

Slot numbers are assigned in the order of activation (not reservation), starting at #1. The first Founding Church to activate receives slot #1, the second receives slot #2, and so on. A Founding Church that reserved 14th but is the 5th to actually activate receives slot #5.

In the event that two activations occur within the same second, ties are broken by (a) workspace creation timestamp (earlier first), and (b) Workspace identifier in lexicographic ascending order.

2.4 Forfeiture

A reservation is forfeited and the slot reopens for the next eligible reservation if:

(a) the trial ends without conversion to paid (payment method declined, no charge succeeds, or the Customer cancels during the trial); or

(b) the Customer cancels within the 14-day cooling-off period following the first paid charge (see Main Terms Section 3.5).

Once forfeited, a slot reopens for the next eligible Customer to reserve. The forfeiting Customer cannot reclaim the slot.

2.5 Activated Slots Are Permanent (Subject to Section 4)

Once a slot is activated, the assigned slot number remains permanently associated with the Workspace, even if other reservations later fail to activate. Slot numbers do not shift backward after activation.

2.6 Disclaimer of Reliance

A Founding Church reservation is provisional until activation. Until activation, Vestry may, at its discretion, reflect the slot as "reserved" on its public marketing pages. Vestry makes no representation that any specific reservation will result in an activated slot. Prospective Founding Churches accept that Program participation is finalized only upon activation, and that the public counter on the marketing site is an approximation of available reservations subject to fluctuation as trials end without conversion.


3. The 24-Month Discount Window

Note on subscription cadence (effective 2026-05-04): New Founding Church subscriptions are offered on monthly billing only. Customers who activated their Founding Church Subscription before 2026-05-04 on annual billing remain governed by their original cadence and the legacy clauses in Sections 3.1, 3.4, and 5.2 below.

3.1 24 Months of Paid Service

The Founding Church discount applies to 24 months of paid service, measured by paid billing cycles rather than by calendar time:

  • Monthly subscriptions: the discount applies to the first 24 monthly charges.
  • Annual subscriptions (legacy customers only — see note above): the discount applies to the first 2 annual charges (each annual charge covers 12 months of service).

Pauses, temporary cancellations, and unpaid gaps do not consume the 24-month allowance. Vestry tracks the remaining allowance through a paid_months_remaining counter on each Founding Church's Workspace, initialized at 24 upon activation and decremented by the number of months covered by each successful paid charge.

3.2 Trial Period Is Additional

The 30-day free trial described in the Main Terms does not count toward the 24 months. A Founding Church receives the trial plus 24 months of discounted paid service, for a total of approximately 25 months of zero-or-reduced-cost Vestry usage.

3.3 Tier Changes During the Discount Window

The Founding Church discount applies at whatever tier the Customer is paying for at any given time. A Founding Church on Team-tier pricing receives 20% off Team-tier pricing; if upgraded to Ministry, receives 20% off Ministry pricing.

Tier changes during the discount window do not extend or reset the 24-month discount allowance. The paid_months_remaining counter continues to decrement at the same rate.

3.4 Cadence Switches During the Discount Window (Legacy Customers Only)

This Section applies only to Founding Churches that activated on annual billing before 2026-05-04. New Founding Churches subscribe on monthly billing and have no cadence to switch.

A legacy-cadence Founding Church may switch between monthly and annual billing during the discount window. The paid_months_remaining counter decrements appropriately at each billing event (1 per monthly charge, 12 per annual charge).

3.5 Discount End

When the paid_months_remaining counter reaches zero, the next renewal applies the then-current standard pricing for the Customer's tier and cadence. See Section 7 for the post-Program transition.


4. Retention Requirements and Enforcement

4.1 The Requirements

To remain in the Program, each Founding Church agrees to:

(a) contribute at least 10 community posts or replies per month, on a team-aggregate basis (across all Authorized Users in the Workspace), for the first 6 months following the start of the obligation period (see Section 4.2); and

(b) provide a written or video testimonial within 90 days of the first paid charge.

4.2 Start of the Obligation Period

The 10-posts-per-month requirement begins the first calendar month following Vestry's general availability of the community feature. If the community feature is unavailable, suspended, or substantially changed during a Founding Church's 6-month obligation period, the obligation is tolled for the period of unavailability. Vestry's good-faith determination of when the community feature is generally available is binding.

4.3 Definition of "Post or Reply"

For purposes of Section 4.1(a), a "post or reply" means a contribution to the Vestry community that contains at least 10 words of substantive content authored by an Authorized User of the Founding Church's Workspace. Pure emoji reactions, single-word replies, and substantively duplicate posts are not counted. Vestry's good-faith determination of whether a contribution counts is binding, subject to the dispute-resolution provisions of the Main Terms.

4.4 Standards for Testimonials

For purposes of Section 4.1(b):

  • A written testimonial must contain at least 100 words of authentic content reflecting the Founding Church's experience with the Service.
  • A video testimonial must contain at least 60 seconds of authentic content recorded by an Authorized User of the Founding Church's Workspace.

4.5 Two-Warning Enforcement

Vestry will enforce the requirements in Section 4.1 as follows:

(a) First miss. If a Founding Church misses either requirement in any given month (10-posts) or misses the testimonial deadline, Vestry will send a written warning to the email address on file for the Workspace owner and display an in-app notice visible to all Authorized Users. The warning will identify the missed requirement and request remediation in the following month.

(b) Second consecutive miss. If the Founding Church misses again in the next consecutive applicable period, Vestry will send a second warning by email and a more prominently displayed in-app notice, and a 60-day cure window begins from the date of the second warning.

(c) Failure to cure. If the Founding Church remains out of compliance at the end of the 60-day cure window, the Founding Church discount and benefits will terminate at the next renewal, and the Workspace will revert to standard Team or Ministry pricing. The Founding Church badge and slot number are also forfeited at this point. The slot does not reopen — it is retired.

(d) Notice and verification. All warnings under this Section 4.5 are delivered (i) by email to the email address on file for the Workspace owner, and (ii) by in-app notice visible to Authorized Users with administrative permissions. Either method is sufficient as constructive notice. Vestry may, at its discretion, audit and verify community-post counts and testimonial submissions to confirm compliance, and may require reasonable cooperation from the Founding Church in such verification.

(e) Internal review before termination. Before final termination under Section 4.5(c), the Founding Church may, within 14 days of the cure-window expiration, request a written internal review by Vestry. Vestry will respond in writing within 30 days. The internal review does not create a right of arbitration or appeal beyond the dispute-resolution provisions in the Main Terms, but Vestry will document its compliance determination and the basis for it.

4.6 Roadmap Call Attendance Is Not a Requirement

Attendance at product roadmap calls described in Section 1.3(d) is a benefit of the Program and not a requirement. Non-attendance does not trigger any consequence and has no effect on Founding Church status, discount, or badge.

4.7 Frozen Subscription Tolling

During any period the Workspace is in a frozen state (no active paid Subscription), the 10-posts-per-month obligation is suspended. The obligation resumes at the start of the next calendar month following Workspace reactivation, with the 6-month obligation period extended by the duration of the freeze.


5. Cancellation and Refund

5.1 Cancellation

A Founding Church may cancel its Subscription at any time through account settings (or by contacting hello@getvestry.com). Cancellation forfeits the Founding Church slot, badge, and remaining 24-month discount window regardless of any refund amount payable under Section 5.2.

5.2 Refund Calculation

Cancellation refunds are governed by the Main Terms Section 3.5, modified as follows for Founding Churches:

  • Monthly subscriptions (all new Founding Churches): non-refundable. You may cancel at any time to stop future charges. The current monthly term is not refunded.

5.2-Legacy. Annual Subscriptions (Legacy Customers Only)

This subsection applies only to Founding Churches that activated on annual billing before 2026-05-04. Annual billing is not offered to new Founding Churches as of that date.

  • Annual subscriptions, within 14 days of the initial annual charge: full refund of the annual charge.

  • Annual subscriptions, after 14 days: prorated refund calculated at the discounted monthly rate (not the base monthly rate). The formula is:

    discounted_monthly = base_monthly × (1 − founding_discount_pct)
    refund = discounted_annual_paid − (months_elapsed × discounted_monthly)
    refund = max(refund, 0)
    

    Example (legacy Team-annual customer at 20% off, illustrative pricing):

    • Team monthly base price: $15/month. Team annual base price: $144/year (annual cadence saved $36 over 12 monthly charges before annual was retired).
    • Founding Church annual paid upfront: $144 × 0.80 = $115.20.
    • Founding Church discounted monthly rate: $15 × 0.80 = $12.
    • Founding Church cancels at month 8.
    • Refund formula uses the discounted monthly rate to charge for elapsed months — which effectively forfeits the annual cadence savings on early cancellation:
    • Refund = $115.20 − (8 × $12) = $115.20 − $96 = $19.20.

Important — legacy point-of-sale disclosure required by Section 5.2-Legacy: Legacy annual Founding Churches acknowledged at signup that early cancellation may result in a refund of $0 if the discounted-monthly-rate accrual exceeds the annual amount paid. The annual cadence savings are not refunded on early cancellation. This pattern is consistent with how Stripe and Recurly handle annual-discount proration.

5.3 Slot, Badge, and Discount Forfeiture

Regardless of refund amount, cancellation results in:

(a) immediate forfeiture of the Founding Church slot and badge; (b) forfeiture of the remaining 24-month discount window; (c) reopening of the slot for the next eligible reservation; and (d) re-subscription at standard pricing if the Customer ever returns to Vestry — no slot recovery is available, and the Program is closed once the cap of active or revoked slots is reached.

5.4 Slot Forfeiture on Chargeback or Refund of First Charge

A Founding Church slot remains activated only while the corresponding first paid charge remains paid and unrefunded. A successful chargeback, fraud reversal, or Vestry-initiated refund of the first paid charge forfeits the slot, which then reopens for the next qualifying reservation.

5.5 Anti-Gaming

Cancellations followed within 90 days by re-subscription of substantially the same Authorized Users to a new Workspace under the same church entity may, at Vestry's good-faith determination supported by documented overlap of Authorized Users, be treated as a breach of these Program Terms and the Main Terms and result in forfeiture of the calculated refund.


6. Vestry's Obligations and Service Discontinuation

6.1 Service Continuity

Vestry intends to operate the Service continuously throughout the 24-month Founding Church discount window and beyond. Routine product changes, feature additions, removals, redesigns, and pricing adjustments outside the discount window are part of normal Service evolution.

6.2 Discontinuation or Substantial Change

If Vestry, in its sole discretion, discontinues the Service or substantially changes its core functionality during your 24-month Founding Church discount window, Vestry will:

(a) provide at least 60 days' written notice prior to the change taking effect; and

(b) issue a pro-rated refund of any prepaid amounts for service periods extending past the change date, calculated at your Founding Church discounted monthly rate.

6.3 Definition of "Core Functionality"

For purposes of Section 6.2, "core functionality" means the ability to:

(a) plan worship services;

(b) manage a song library; and

(c) collaborate with team members on services.

Routine product changes, feature additions, removals, redesigns, or pricing adjustments outside the discount window are not "substantial changes to core functionality."

6.4 Carve-Outs (Refund Obligation Does Not Apply)

The refund obligation in Section 6.2 does not apply to:

(a) insolvency or bankruptcy of Vestry — provided that, in the event of voluntary cessation of service for reasons other than insolvency or bankruptcy, prepaid amounts attributable to service periods after the cessation date will be refunded to the extent reasonably practicable as an unsecured general claim, and Vestry will not oppose such claims in any wind-down proceeding;

(b) court-ordered shutdown;

(c) actions taken in good-faith compliance with applicable law;

(d) force majeure events including pandemics, natural disasters, war, civil unrest, or sustained outages of essential third-party infrastructure providers (such as Vestry's hosting, authentication, payment, or analytics providers); or

(e) product changes Vestry reasonably believes are necessary to comply with applicable law, address security vulnerabilities, or respond to a sustained material breach of essential third-party infrastructure.

6.5 Successor and Assignment

These Program Terms assign to successors and assigns of Vestry. An acquirer's continued operation of the Service satisfies Vestry's obligations under this Section 6. The Founding Church badge described in Section 1.3(b) survives Vestry's rebranding, acquisition by a successor entity continuing the Service, or migration to a successor product offering substantially equivalent functionality. The badge does not survive complete discontinuation of the Service. If a successor offers an equivalent product under a new name, the badge converts to a "Founding Member" or equivalent recognition at the successor's discretion.


7. Slot Transferability and Successor Entities

7.1 Non-Transferable

Founding Church slots are non-transferable and remain tied to the original Workspace and the church entity that registered for the Program. The Workspace may rename itself, and ownership of the Workspace may change hands among authorized members of the same church entity, without affecting the slot.

A Founding Church may not assign, transfer, sell, or otherwise convey their slot, badge, or discount to a different church or Workspace, even if affiliated.

7.2 Mergers (Limited Exception)

If two Founding Churches merge into a single legal entity, the merged church may retain one Founding Church slot at Vestry's confirmation. The other slot is forfeited (and stays retired — does not reopen).

7.3 Splits, Dissolutions, and Denomination Changes

(a) Dissolution: if the Founding Church entity dissolves, the slot is forfeited unless a successor entity composed of substantially the same congregation and worship leadership reorganizes within 180 days, at Vestry's confirmation.

(b) Splits: if a Founding Church splits into multiple successor entities (for example, in a denominational dispute), Vestry will assign the slot to the successor entity that, in Vestry's good-faith determination based on documented evidence the parties may submit, retained the larger share of the Workspace's then-active Authorized Users at the time of the split. If the split is approximately equal or undocumented, Vestry may retire the slot. Vestry's determination will be communicated in writing within 60 days of either successor's request.

(c) Denominational affiliation change: a change of denominational affiliation that does not involve a change in legal entity does not affect the slot.

7.4 Daughter Churches and Campus Plants

Daughter churches, campus plants, satellite locations, and related ministries that establish separate Workspaces are subject to standard pricing. They do not inherit the parent church's Founding Church slot or discount.


8. Post-Program Status

8.1 Pricing After Month 24

Upon expiration of the 24-month Founding Church discount window, the Customer's Subscription will renew at the then-current standard Team or Ministry pricing. Vestry will provide at least 60 days' advance written notice of the price change before the first standard-pricing renewal (consistent with the Main Terms Section 3.6).

8.2 Badge for Life

The numbered Founding Church badge ("Founding Church #X") remains permanently associated with the Workspace as a lifetime recognition of the church's role in the Program, regardless of subscription tier or future status. If the church cancels and resubscribes years later, the badge persists (subject to Section 6.5 in the event of Service discontinuation).

8.3 Future Programs

Vestry may, at any time, launch additional partnership, beta, or recognition programs. Such programs do not affect the rights or status of existing Founding Churches under these Program Terms. Existing Founding Churches do not receive automatic enrollment, additional discounts, or special status in any future program.


9. Testimonial License (Modifies Main Terms Section 5.4)

The Main Terms Section 5.4 ("Marketing and Logo Use") generally requires Vestry to obtain prior written consent for each marketing use of Customer Content. This Section 9 modifies that rule for testimonials provided under the Founding Church Program.

By submitting a testimonial under Section 4.1(b), the Founding Church grants Vestry a perpetual, irrevocable, worldwide, royalty-free license to reproduce, display, distribute, and edit the testimonial (including church name, logo, and the testifying individual's name and title) on Vestry's marketing surfaces — including website, social media, sales materials, investor materials, app-store listings, and any successor or affiliated marketing platforms.

This license survives termination of the Founding Church Program, cancellation of the Subscription, and any subsequent forfeiture of the slot or badge.

The Founding Church represents and warrants that the individual who delivers the testimonial has the authority to bind the church to this license.

9.1 Scope-of-Use Limitation (post-validation refinement)

Notwithstanding the perpetual and irrevocable nature of the license in Section 9, Vestry agrees that:

(a) Vestry will not edit the testimonial in a manner that materially alters its meaning, attribute it to an individual no longer associated with the Founding Church without notice to the Founding Church, or use it in a manner that would reasonably suggest the Founding Church endorses positions or products it has not endorsed.

(b) Upon written request to legal@getvestry.com from a current authorized officer of the Founding Church, Vestry will, within 30 days: (i) update or remove personally identifying information of the testifying individual, and (ii) cease use of the testimonial on surfaces where Vestry retains direct editorial control.

(c) The license itself remains perpetual and irrevocable; this Section 9.1 applies only to scope-of-use and to material-alteration protection. Vestry is not required to recall third-party reproductions of the testimonial that were lawfully made under the license before the request.


10. Changes to the Program

Vestry may modify these Program Terms in accordance with the modification procedure in the Main Terms Section 2.4. Material changes will be communicated to active Founding Churches by email at least 30 days before taking effect. Continued participation in the Program after the effective date constitutes acceptance.

Vestry may not unilaterally:

(a) reduce the percentage of the discount below 20% during an active Founding Church's 24-month discount window; (b) shorten the 24-month discount window for an active Founding Church; or (c) revoke the lifetime badge promise in Section 8.2,

except as expressly permitted in Sections 4.5 (failure-to-cure termination), 5 (cancellation forfeiture), or 6 (Service discontinuation).


11. Application of the Main Terms

11.0 Geographic Scope

The Founding Church Program is offered solely to churches with a primary place of operations in the United States. Reservations from churches outside the United States may be cancelled at Vestry's discretion without penalty to either party. The Program is not designed to comply with non-US consumer-protection regulations specific to multi-year subscription contracts (such as the EU Data Act's two-month-notice ceiling on multi-year SaaS contracts).

11.1 General Rule

Except as expressly modified in these Program Terms, all provisions of the Main Terms apply to Founding Churches, including but not limited to:

(a) Acceptable Use (Main Terms Section 4) — including the prohibition on infringing Customer Content, no automated scraping, no AI training, and community standards; (b) Customer Content ownership and license (Main Terms Section 5); (c) DMCA notice-and-takedown and repeat-infringer policy (Main Terms Section 7); (d) Privacy Policy incorporation (Main Terms Section 8.1); (e) Limitation of Liability (Main Terms Section 12) — the cap of the greater of $100 or 12 months of fees applies to Founding Churches just as it does to other Customers;

(f) Governing law, venue, and arbitration (Main Terms Section 14) — Virginia / Fairfax / EDVA, two-tier AAA arbitration, class-action waiver, 30-day opt-out; and (g) General provisions (Main Terms Section 15) — including severability, entire agreement, e-signature, third-party content disclaimer.

11.2 Order of Precedence

In any conflict between these Program Terms and the Main Terms with respect to the Program, these Program Terms control. With respect to all other matters, the Main Terms control.

11.3 Privacy Policy

The Privacy Policy at getvestry.com/privacy is incorporated into these Program Terms by reference. Your participation in the Program constitutes acceptance of the Privacy Policy.


12. Termination of Program Participation

12.1 Termination Events

Your participation in the Program may be terminated:

(a) By you, at any time, by cancelling your Subscription (see Section 5); (b) By Vestry, at the end of the 24-month discount window (graduation to standard pricing per Section 8.1); (c) By Vestry, for failure to meet retention requirements after the two-warning + 60-day cure period (see Section 4.5); (d) By Vestry, for any of the termination triggers in the Main Terms Section 9.3; (e) By Vestry, in the event of a chargeback, fraud reversal, or refund of the first paid charge (see Section 5.4); (f) By Vestry, in the event of a slot-forfeiture trigger under Section 7 (dissolution without successor, certain splits); or (g) By Vestry, upon Service discontinuation (see Section 6.2).

12.2 Effect of Termination

Upon termination of Program participation:

(a) the discount and benefits under Section 1.3 terminate; (b) the slot and badge terminate as provided in Sections 4.5, 5, or 7 (where applicable); (c) the Subscription continues at standard pricing for the remainder of the paid period (unless the Subscription itself is also terminated under the Main Terms); and (d) the testimonial license under Section 9 survives.

12.3 Survival

The following provisions survive termination of these Program Terms or the Customer's participation in the Program: Section 5.5 (anti-gaming), Section 9 (testimonial license), Section 11.1(a) and (g) (incorporation of Main Terms acceptable use, indemnification, dispute resolution, and general provisions), this Section 12.3, and any other provision that by its nature is intended to survive. Confidentiality obligations under the Main Terms continue for the full term specified there. The badge described in Section 1.3(b) and 8.2 survives indefinitely except as provided in Section 6.5.
